Trian claims Disney's board has failed to generate sufficient returns in recent years as subscription streaming losses have mounted and traditional TV subscribers have declined. Early vote countBoth Disney and Trian received support from influential shareholders ahead of Wednesday's meeting. Roughly one-third of Disney's shareholders are retail shareholders, who historically vote in small numbers in annual meetings. Two competing slates of board seats are now up for a vote against Disney’s. Peltz has criticized Disney’s recent theatrical flops and said the company should reach “Netflix-like margins” with its Disney+ streaming service, among other issues. The main campus of the bankrupt San Francisco Art Institute, which is home to a beloved Diego Rivera mural, has been sold to a new nonprofit organization led by the philanthropist Laurene Powell Jobs. The nonprofit, made up of local arts leaders and supporters including Powell Jobs, the widow of the Apple co-founder Steve Jobs, bought the campus — which has been plagued by debt — through a limited liability company, for about $30 million. The sale, reported earlier in The San Francisco Chronicle, includes “The Making of a Fresco Showing the Building of a City,” a 1931 mural by Rivera, which has been valued at $50 million and will remain in a viewing room. The former school will house an unaccredited institution that will include a residency program where artists can “develop their work and show their work,” said David Stull, the president of the San Francisco Conservatory of Music, who is a member of the new nonprofit organization’s advisory committee. He described the new center “as a platform for supporting artists and creating a center for the community around art.”

The Farmers Had What the Billionaires Wanted

For six years a mysterious company called Flannery Associates, which Mr. Sramek controlled, had upended the town of 10,000 by spending hundreds of millions of dollars trying to buy every farm in the area. It sued a group of holdouts who had refused its above-market offers, on the grounds that they were colluding for more. Residents worried it could be a front for foreign spies looking to surveil a nearby Air Force base. The truth was that Mr. Sramek wanted to build a city from the ground up, in an agricultural region whose defining feature was how little it had changed. They and others from the technology world had spent some $900 million on farmland in a demonstration of their dead seriousness about Mr. Sramek’s vision.

Notably, the acreage is less than half of the nearly 55,000 acres Flannery Associates purchased presumably for the project since at least 2018. Flannery Associates has spent about $800 million grabbing up land throughout the county that sits about 60 miles above San Francisco. But the group also has been in a contentious legal battle with a handful of Solano County landowners since May. In a lawsuit, Flannery Associates accused landowners of conspiring to inflate the land prices. In response, attorneys for the landowners accused Flannery Associates of using "strong-arm tactics" to pressure landowners into selling their land.

SAN FRANCISCO (AP) — Promoters of a secretive Silicon Valley-backed ballot initiative to build a new city on farmland between Sacramento and San Francisco are releasing more details of their plan as they submit paperwork Wednesday to qualify for the November election. That's why Jan Sramek, CEO and founder of California Forever, and the project's backers are turning to the ballot. Jan Sramek has spent the past several months in restaurants and conference rooms pitching politicians, environmentalists and labor unions on a plan to erect a new California city on open farmland in an eastern corner of the San Francisco Bay Area. The project is backed by a host of big Silicon Valley names, including the venture capitalists Michael Moritz and Marc Andreessen, the LinkedIn co-founder, Reid Hoffman, and the Emerson Collective founder, Laurene Powell Jobs. At an event Wednesday evening, Mr. Sramek, the chief executive of a company called California Forever, took his case to the Solano County voters. Mr. Sramek took it in stride, patiently answering questions and appearing mostly unruffled. He promised improved infrastructure, employment and middle-class homes for the county’s 450,000 residents.

Explaining OpenAI’s Board Shake-Up

For much of the past year, OpenAI’s board of directors has been criticized as too small and too divided to effectively govern one of the fastest-growing start-ups in Silicon Valley history. On Friday, the board’s dysfunction spilled into public view when four of its members fired Sam Altman, OpenAI’s popular and powerful chief executive. Mr. Altman, 38, returned to the company on Tuesday night, after days of haggling over his job and over the makeup of the board. The board and Mr. Altman’s allies discussed more than a half dozen options for its future. The departing board wanted to be sure the replacements would be independent thinkers and experienced enough to stand up to Mr. Altman.
